Terms of Service

Version 2.2.2 · in force from 22 October 2026

1. Who we are

These terms are an agreement between you and SynCore ("SynCore", "we", "us"), a Global Business Company incorporated in the Republic of Mauritius, Company No. 240463, holding Global Business Licence [GBC LICENCE NO.], registered office Suite 803, 8th Floor, Hennessy Tower, Pope Hennessy Street, Port Louis 11328, Mauritius. SynCore is our trading name.

Contact: support support@syncoretech.net, billing billing@syncoretech.net, privacy privacy@syncoretech.net, complaints complaints@syncoretech.net, reporting misuse abuse@syncoretech.net.

2. Who can use SynCore

We serve businesses and individuals outside Mauritius only.

  • Businesses: if you sign up for a company, partnership, sole trader or other organisation, you confirm that you are allowed to bind it, and "you" means that organisation.
  • Individuals: if you sign up for yourself, mainly for purposes outside your trade, business, craft or profession, you are a consumer. You must be at least 18. Section 3 explains the extra rights consumers have.
  • Where we do not serve: we do not take on customers who live in, or are based in, Mauritius. We also do not serve anyone in a place under comprehensive sanctions, anyone on a sanctions list, or anyone based in a jurisdiction on the FATF list of "high-risk jurisdictions subject to a call for action".
  • Checks: we may ask you to confirm your identity, your address or location, and (for a business) its registration details, before we switch a service on or at any time afterwards. We may refuse or end service if a check is not completed or shows you are not eligible.

3. If you are a consumer

  • Nothing in these terms takes away rights you have by law as a consumer that cannot be excluded or limited by contract.
  • Right to cancel: if the law that protects you gives you a right to cancel a contract made online, you can cancel a new plan, or another service ordered online, within 14 days of the day the contract is made, without giving a reason. If you ask us to start the service during those 14 days, you pay only for the service provided up to when you tell us you are cancelling. Details are in our Refund and Cancellation Policy.
  • If the consumer law of the place where you live protects you even when you agree to another country’s law, you keep that protection (see section 18).

4. Our services

  • SynCore Cloud: private file storage for your organisation, described in the Cloud Service Terms.
  • Support: help by ticket and email, as described in our Support and Maintenance Policy and on our Support page.
  • IT services and development by quote: IT services and the development of software, web portals, AI and machine learning solutions, and anything else we agree in a written quote that you accept in your account. The quote describes the work, deliverables, price, payment stages and timing, and these terms apply to it. If the quote and these terms conflict, the quote applies to that work.

All services are digital and delivered online. How and when they are switched on or handed over is set out in our Service Delivery Policy.

5. Making the contract

The descriptions and prices on our website are an invitation to order. A contract is made when you accept these terms and place an order or accept a quote in your account, and we confirm it. We may refuse an order, for example if a check is not completed; if we do, you are not charged, or we refund in full anything you paid.

6. Electronic contracting and communications

You agree that these terms, orders, quotes, acceptances, invoices and notices may be made, signed and sent electronically, in line with the Electronic Transactions Act of Mauritius, and that they are as valid as paper documents. We send notices to the email address on your account and in your account. We keep a record of the version of each policy you accept and when you accepted it, and you can see it in your account.

7. Your account

You must give accurate details, keep them up to date and keep your sign-in details safe. You are responsible for what people you invite do in your account. Tell us at once if you think your account has been misused. We recommend two-step verification for everyone.

8. Acceptable use

You must follow our Acceptable Use Policy. We may suspend access, or remove content, if we reasonably believe it breaks that policy or the law. Where we can, we tell you first and give you a chance to put things right.

9. Prices, invoices and payment

  • Prices are shown in US dollars with their billing period and exclude any taxes that may apply. If any tax applies, it is shown before you pay and on your invoice.
  • Plans are billed in advance, monthly or yearly, as chosen. Work by quote is billed as the quote sets out. Invoices are issued in your account and are due by the date shown on them.
  • Payment is currently by bank transfer. We do not collect or store payment card details. How to pay, currency and what happens if a payment is late are set out in Payments and Billing.
  • If we change the price of your plan, we tell you at least 30 days before the new price applies to you, and you can cancel before it applies.

10. Renewal and cancellation

Plans renew automatically at the end of each billing period until cancelled. We show the renewal date in your account and send the invoice for the next period before it is due. You can cancel at any time by opening a ticket in your account or by writing to billing@syncoretech.net; the plan then runs to the end of the period you have paid for and is not renewed. Refunds and payment disputes are covered by the Refund and Cancellation Policy.

11. Suspension and ending the agreement

If an invoice stays unpaid after the reminders described in Payments and Billing, we may make your clouds read-only until it is paid. We may end this agreement with 30 days' notice, or at once if you seriously or repeatedly break these terms or the law requires it. You may end it at any time by cancelling. When the agreement ends, your clouds become read-only for at least 30 days so you can download your files; after that we may delete them, and we tell you before we do.

12. Your data and ours

Your files belong to you. We use them only to provide the services, as set out in our Data Processing Agreement. How we handle personal data is explained in our Privacy Notice. The software, design and content of our services belong to us or our licensors; you get a right to use them while your account is active.

For work by quote, ownership of deliverables and any licence to use them are set out in the quote. Unless the quote says otherwise, once you have paid in full for a deliverable, you own what we create specifically for you, and we keep ownership of our pre-existing tools, code and know-how, which you may use as part of the deliverable.

13. Confidentiality

Each of us keeps confidential any non-public information the other shares in connection with the services, and uses it only for the purpose it was shared for, unless the law requires disclosure.

14. Third-party providers

We use other companies to run the services, such as Cloudflare for file storage and Hetzner for servers. They are listed on our Subprocessors page. We remain responsible to you for the services.

15. Liability

  • We provide the services with reasonable skill and care. We do not promise that they will be uninterrupted or error-free; how we support and maintain them, on a best-effort basis, is set out in our Support and Maintenance Policy.
  • If you are a business: neither of us is liable for indirect or consequential loss, or for loss of profit, revenue, data or goodwill, and our total liability in any 12 months is limited to the amount you paid us in those 12 months.
  • If you are a consumer: we are responsible for loss or damage you suffer that is a foreseeable result of our breaking these terms or failing to use reasonable care and skill. Loss is foreseeable if it is obvious it will happen, or if both of us knew it might happen when the contract was made. We are not responsible for business losses, because consumer accounts are for personal use.
  • Please keep your own copies of important files.
  • Nothing in these terms limits liability for fraud, or for death or personal injury caused by negligence, or any liability that the law does not allow to be limited.

16. Events outside our control

We are not responsible for delays or failures caused by events outside our reasonable control, such as a major outage at an upstream provider, natural disaster or government action. We will tell you and do what we reasonably can to limit the effect.

17. Sanctions and export rules

You confirm that you are not subject to sanctions and will not use the services in breach of sanctions or export laws. We may refuse or end service where the law requires.

18. Law, complaints and courts

These terms are governed by the laws of the Republic of Mauritius. If you are a business, the courts of Mauritius have exclusive jurisdiction over any dispute.

If you are a consumer, you also keep the protection of the mandatory consumer laws of the place where you live, and you can bring a claim in the courts there as well as in the courts of Mauritius.

Before going to court, please use our Complaints Procedure so we can try to put things right.

19. Changes to these terms

We may update these terms. We publish every version with its version number and the date it takes effect, and earlier versions remain available on our website. For important changes we tell you in your account at least 30 days before they take effect and ask you to accept the new version. If you do not accept it, you can cancel before it takes effect.

20. General

If any part of these terms is found invalid, the rest remains in force. If we do not enforce a right straight away, we can still enforce it later. You may not transfer this agreement without our written consent; we may transfer it to a successor that continues the services, and we will tell you. These terms, the policies they link to and any accepted quote are the whole agreement between us about the services. The English version is the binding version.
